1. SOFTWARE PURCHASES AND LICENSE TERMS:
Software licenses purchased at the Caliper Corporation Store (“Caliper Store”) are subject to the license agreement that accompanies the Software product. You will be required to agree to the terms and conditions of the License Agreement at the time you install the Software.
Please review the License Agreement before ordering the software. The purchase and use of Maptitude is subject to the terms and conditions found in the Maptitude License Agreement. The purchase and use of TransModeler SE is subject to the terms and conditions found in the TransModeler SE License Agreement. BY ORDERING THE SOFTWARE, LICENSEE AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THE LICENSE AGREEMENT.
2. ELECTRONIC SOFTWARE DOWNLOADS:
Electronic software download (“ESD”) products are delivered to you by making a download link available via the email associated with your product purchase. Subject to the paragraph below, we usually store the download link for 6 months following the purchase date, but do not guarantee to store them for any particular length of time. You agree that we may cancel or modify our digital storage program at any time. You also agree that we may stop supporting the storage of downloads for one or more products at any time and for any reason, including, by way of example, at the end of the product support life cycle, after which you will no longer have access to the download link.
3. OTHER TERMS AND CONDITIONS:
In addition to the above software and Electronic Software Download (“ESD”) products, other products and services available for purchase or trial on the Caliper Store may also be offered to you subject to separate end user license agreements, terms of use, terms of service or other terms and conditions. If you purchase or use those products, you may be required to also accept those terms as a condition of purchase, installation, or use.
4. AUTO-RENEWAL PRODUCTS:
Provided that auto-renewals are allowed in your country, region, province, or state, you may purchase subscriptions from us that automatically renew.
Please review the Supplemental Terms for Auto-Renewal before ordering such subscription products. The terms and conditions that apply to subscriptions for Maptitude can be found in the Maptitude Supplemental Terms for Auto-Renewal and the Maptitude Supplemental Terms for SaaS. BY PLACING AN ORDER FOR THE PRODUCT OR ACCESSING OR USING THE PRODUCT, YOU ACCEPT AND AGREE TO THESE TERMS.
5. PRICES:
PRICES ARE IN U.S. DOLLARS and do not include tax or shipping. Prices are subject to change. Caliper Corporation reserves the right to change prices for products displayed at any time and particularly to correct pricing errors that appear. Upgrade pricing for Maptitude 2024 is only available for Maptitude 2023 Licenses.
6. TAX AND SHIPPING:
In addition to the price of your purchases, Caliper Corporation will charge you sales tax and shipping based on your shipping address and the sales tax rate in effect at the time your order is billed. The buyer will pay any applicable taxes and shipping fees, including sales tax, use tax, excise tax, customs fees, import duties or stamp duties, or other taxes and duties imposed by governmental entities of whatever kind, including penalties and interest. Taxes are the responsibility of the buyer and reimbursable to Caliper Corporation together with interest, if assessed by the State Department of Tax/Revenue or other government revenue body. Applicable local tax is added for the following US states: AK, AZ, CA, CO, DC, FL, HI, IL, IN, KY, ME, MD, MA, MI, MO, NC, NY, PA, TX, VA, and WI. The Checkout page will display the sales tax applied to your order. If the sales tax rate for the US state to which your order is being shipped changes before the product is shipped, the rate in effect at the time your order is invoiced will apply.
Tax-Exempt Orders
If you wish to place an order on behalf of a tax-exempt organization or individual, please email sales@caliper.com. Be prepared to provide proof of state tax-exempt status for the state where the product is being shipped. The organization or individual name on the order must exactly match the state tax-exempt certificate. Caliper Corporation does accept US federal tax exemption certificates.
7. SALES TO END USERS ONLY:
Caliper Corporation sells and ships products to end user customers only. You must contact sales@caliper.com if you need to purchase for resale. Caliper Corporation reserves the right to refuse or cancel your order if Caliper suspects you are purchasing for resale without prior written permission from Caliper Corporation.
8. CANCELLATION POLICY:
Once a purchase has been prepared for shipment, it may not be changed or canceled. Orders are subject to acceptance by Caliper Corporation. Caliper Corporation reserves the right, in its sole discretion, to refuse or cancel any order and to limit order quantity. Caliper Corporation may require additional qualifying information prior to accepting or processing any order.
A. Auto-Renewal Cancellation
The cancellation terms and conditions that apply to subscriptions for Maptitude can be found in the Maptitude Supplemental Terms for Auto-Renewal.
B. Public Training Cancellation
Cancellation by Trainee:
- A 50% refund will be provided up to 2 weeks prior to the training date.
- Cancellations received less than 2 weeks before the training are not entitled to a refund.
- Refunds will not be given for a “no show” on the day.
- In the event of serious or contagious illness or emergency (official proof will be required or upon our discretion), you will receive either a full refund or Training Credits for each day of training purchased.
Cancellation by Caliper:
- Caliper reserves the right to reschedule or cancel the date, time, delivery method, and location of a training at any time. Trainees will be notified of cancellation or rescheduling prior to the training date.
- If a training is canceled, the trainee is entitled to a full refund.
- A training may be cancelled if a minimum of 3 trainees is not met 14 days prior to the training date, for example
- If a training class is canceled due to circumstances beyond our control (e.g., weather, natural disaster, terrorism, pandemic), the trainee is entitled to Training Credits for each day of training purchased.
- Caliper shall not be responsible for any other loss incurred as a result of a cancellation or reschedule. This includes airfare or other transportation costs, hotel expenses or other damages which the trainee may suffer.
C. Training, Support, and Consulting Credits Expiration
What are Caliper Training Credits?
Caliper Training Credits are prepaid training funds used toward training delivered by Caliper. Each Caliper Training Credit is normally, but not always, equivalent to either:
- US$275 or one hour of training, support, or consulting services
- US$300 or one day of in-person classroom or virtual classroom training
The type of credits are indicated at the time of purchase and are not interchangeable.
Do Caliper Training Credits expire?
Yes, Caliper Training Credits expire 365 calendar days from the invoice date. The expiration requirement was instituted to encourage timely use of the Training Credits. Expiration occurs at 12:01 a.m. on the expiration date.
What happens if I don’t use my Caliper Training Credits before they expire?
- Should your Training Credits expire before you can use them, you may request a reissue of the balance about to expire, valid for a period of 6 months.
- Reissues can be granted within an eligibility window of 60 days before and 60 days after the original date of expiration.
- Reissue requests are submitted through sales@caliper.com.
- Requests for reissue must go through review and approval processes before the Training Credits can be made available again.
9. RETURNS:
The Buyer may return Maptitude licenses sold and fulfilled by Caliper Corporation within 30 days of delivery for a full refund, subject to the following:
- Returns received by Caliper Corporation after 30 days from the date of purchase will not be refunded. Caliper Corporation does not charge restocking or other fees.
- For physical products, Caliper Corporation does not pay the return shipping costs unless the return is a result of our error. Items should be returned in their original product packaging.
- For software downloads, Caliper Corporation requires that the software be uninstalled and deactivated. Once the software has been deactivated, please contact Sales to request a refund.
- For subscriptions, all subscription and auto-renewal fees are non-refundable.
Receiving Refunds:
Caliper Corporation will initiate a credit to the Buyer typically within three (3) business days, excluding US federal holidays, of receiving a return. The Buyer’s request for a refund is initiated upon receipt of a return by Caliper Corporation and upon confirmation by Caliper Corporation of software license deactivation. This 3-day period does not include delays caused by banks, as each bank’s turn-around time is different. All refunds are subject to the Caliper Corporation Sales Policy.
10. OUT OF STOCK:
Very occasionally, an item is out of stock or backordered. This means we have run low or out of stock on this item and are unable to ship at the present time. You will not need to re-order the item. We will keep this item on your present order and when it arrives, will ship this to you. If we cannot ship within the time stated or within 30 days, we will seek the customer’s consent to the delayed shipment. When consent is not provided, we will issue a full refund for the unshipped merchandise.
11. ORDER PROCESSING:
A. Shipped Order Processing
Orders are processed between 9:00 a.m. to 6:00 p.m. (Eastern Time, USA, -5 GMT). Orders received after 4:00 p.m. may be processed on the next business day, excluding U.S. federal holidays. All prices are in US dollars. Caliper Corporation ships the order to the shipping address (as specified at checkout) according to the shipping method and time frame agreed upon when the order was placed. Once a purchase has been prepared for shipment, it may not be changed. Remember that delivery estimates are for time in transit only, and that they do not apply until the product leaves Caliper Corporation’s facilities. As the delivery of an order is beyond Caliper Corporation’s control once the order leaves Caliper Corporation’s facilities, Caliper Corporation cannot assume liability for late deliveries, regardless of the delivery method specified.
B. Download Order Processing
The install codes and instructions for downloading are emailed after the shipping confirmation email. Download orders are typically processed automatically, 24 hours a day, and 7 days a week. If you ordered a download product and did not receive a download e-mail within 2 business hours, please check your Junk e-mail folder. Occasionally, download orders are processed only during Caliper USA business hours (Monday through Friday, 8am to 6pm Eastern US Time, excluding U.S. federal holidays). Such download orders received after 4pm are usually processed the same business day, but may be processed on the next business day.
C. Hours of operation:
If you would like product and pricing information, order status information, or other assistance with an order you already placed with Caliper Corporation, please contact sales@caliper.com, Monday – Friday, excluding U.S. federal holidays, from 8:00 a.m. to 6:00 p.m., Eastern time (USA).
12. DELIVERY:
Once your order has been placed, we are unable to change the shipping address. Title and risk of loss to all products will pass to you on delivery.
Undeliverable Packages:
Occasionally packages are returned to Caliper Corporation as undeliverable. When the carrier returns an undeliverable package to Caliper Corporation, please contact Caliper Corporation to make arrangements for reshipment.
Failed Delivery Attempts:
Most of Caliper Corporation’s carriers make three attempts to deliver a package. After three delivery attempts, the carrier will return the package to Caliper Corporation.
13. PRODUCT SUPPORT:
With each new license or upgrade of Maptitude, phone and/or email Learning Support is provided for 60 days from the invoice date. This is not training but provides access to Support for Product onboarding. Technical Support is provided for the current version of the software to assist with installation and software performance issues. After 60 days, Caliper has no obligation to provide support services to Licensee with respect to the Product, and may redirect Licensee to paid training options. Support is often provided after 60 days for the current version of the Product, and does not construe a waiver of Caliper’s right thereafter to enforce such provisions. With the optional, annual, and discounted license upgrade, you receive an additional 60 days of Learning Support from the invoice date. Free Support resources are available and include webinars, videos, the learning portal, and the Product help system. After 60 days from the invoice date you agree that we may cancel or modify our Support policies at any time. You also agree that we may stop supporting one or more products at any time after the 60 days and for any reason, including, by way of example, at the end of the product support life cycle, after which you will no longer have access to software download links.
14. CUSTOMER ACCOUNT, PASSWORD, AND SECURITY:
If the Caliper Store or any of the services requires you to open an account, you must complete the registration process by providing a password, a username, and accurate information as prompted by the applicable registration form. You may also be required to accept separate terms and conditions to open the account. You are responsible for keeping your account information and password confidential and are responsible for all activity that occurs under your account. You agree to notify Caliper Corporation without delay of any unauthorized use of your account or any other breach of security.
15. PRIVACY AND PROTECTION OF PERSONAL INFORMATION:
Information about you and your purchase history is treated in accordance with the Privacy Policy.
